    1979 Articles of Incorporation

    The Articles of Incorporation or “corporate charter” establishes the HOA to be responsible for maintenance, management, and operation of the community property and the community concept.

    The Articles of Incorporation provide the framework for the HOA organization, define its membership, and the voting rights of its owner members, and create the officers and directors who will act on behalf of the organization.

    The authority to proceed is based in the Bylaws. The Bylaws establish the procedures for carrying out these responsibilities, and define the powers and the manner for exercising those powers by the Trustees/Board of Directors.

    The Articles establish the HOA’s responsibility to promote and preserve harmony and uniformity within the Silver Springs community.

    The Articles of Incorporation are a declaration of intent of how the HOA will operate but they are not a contract.  The Articles were recorded by the Developer’s to demonstrate to the State of Utah what their intent and purpose is in forming the Articles of Incorporation for the Silver Springs Master Homeowner’s Association.

    The Silver Springs Amended Articles of Incorporation and 1985 Bylaws were adopted on October 14, 1985 at Parley’s Park Elementary School in Summit County, Utah by the General Membership of the Silver Springs Homeowners Association and approved by a majority of the Board of Trustees.

    Article IV—- Membership: Every person or entity…or contract purchaser of any lot…
    …there shall be two classes of membership: (a) Class A…record owners of a fee or undivided fee interest in any lot. …Class B Membership, which shall be Silver Springs Development Inc.  [Amended in 1986]

    Article V—- Shares

    Article VI—- Board of Trustees: Developers: Vern C. Hardman, Dan Hunter, Rinehart L. Peshell

    Article VII— Principle Office: Hardman’s SLC address.

    Article VIII—Incorporators: Developers: Vern C. Hardman, Dan Hunter, Rinehart L. Peshell

    Article IX—Compliance with the Internal Revenue Code

    Article X—Dissolution of the Corporation – Upon the dissolution of the corporation, the Board of Trustees, after paying or making provision for the payment of all liabilities of the corporation, shall dispose of all the assets of the corporation in accordance with the laws of the State of Utah, and the appropriate provisions of the Internal Revenue Code of 1954, as amended.

    Article XI—Amendment to Articles: The corporation reserves the right to amend, alter, change or repeal any provision contained in these Articles of Incorporation in the manner now or hereafter prescribed by law, and all rights and powers conferred herein on MEMBERS, trustees and officers are subject to this reserved power.

    NOTE:  Originally the developers intended to employ the same 1979 Articles, Bylaws, CC&Rs for all of Silver Springs East (now known as the Silver Springs Community and the Silver Springs Master Association; and possibly for Silver Springs West (now Sun Peak, Cedar Draw, Mahogany Hills).
    Recordings for Silver Springs East Developers’ Subdivisions use a variety of names interchangeably without regard to correctly identifying the entity to whom the recordings apply.  Interchanged names include: Silver Springs East, Silver Springs Developments Subdivision, Silver Springs Development Subdivisions, Silver Springs Subdivisions, Silver Springs Developer Subdivision(s), or Silver Springs Homeowners Association
    .
    Sometimes documents dated from 1985 forward,  intended for the Silver Springs Single Family Homeowners Association, will also include some of the names noted in the previous sentence.  This Amendment to the Articles of Incorporation was made to the Silver Springs Single Family HOA until the title to the common areas and facilities could be disposed of by the developer HOA and transferred to the Master Association.  See Document Index to verify information.
