Articles of Incorporation
The Articles of Incorporation or “corporate charter” establishes the HOA to be responsible for maintenance, management, and operation of the community property and the community concept.
The Articles of Incorporation provide the framework for the HOA organization, define its membership, and the voting rights of its owner members, and create the officers and directors who will act on behalf of the organization.
The authority to proceed is based in the Bylaws. The Bylaws establish the procedures for carrying out these responsibilities, and define the powers and the manner for exercising those powers by the Trustees/Board of Directors.
The Articles establish the HOA’s responsibility to promote and preserve harmony and uniformity within the Silver Springs community.
The Articles of Incorporation are a declaration of intent of how the HOA will operate but they are not a contract. The Articles were recorded by the Developer’s to demonstrate to the State of Utah what their intent and purpose is in forming the Articles of Incorporation for the Silver Springs Master Homeowner’s Association.
The Silver Springs Amended Articles of Incorporation and 1985 Bylaws were adopted on October 14, 1985 at Parley’s Park Elementary School in Summit County, Utah by the General Membership of the Silver Springs Homeowners Association and approved by a majority of the Board of Trustees.
